Article 2 — Purpose

These Terms of Service (ToS) govern the contractual relationship between Ellevate(hereinafter "Qualead" or "the Publisher") and any legal or natural person acting in a professional capacity (hereinafter "the Client") subscribing to one of the plans offered by Qualead.

Qualead is an automated processing service for incoming event hire request emails via the Microsoft Graph API. It generates reply drafts and qualified briefs for event venues, based on the documentation provided by the Client during configuration.

Article 3 — Service access

Access to the Qualead service requires:

  • An active Microsoft 365 account with access to a professional Outlook inbox
  • A valid professional email address
  • Subscription to one of the available plans, via the Stripe payment platform

Service activation occurs following payment confirmation by Stripe and automatic creation of the Client account. A welcome email is sent to the Client with access details.

Article 4 — Pricing and billing

Qualead offers three monthly subscription plans:

Prices are stated excluding VAT. VAT at 20% applies for taxable clients established in France. Billing is monthly via the Stripe platform. Invoices are generated automatically and sent by email to the Client.

If the included volume for the subscribed plan is exceeded, the Client receives a notification. Additional requests are processed and the Client is automatically moved to the next plan for the following month, with no service interruption.

Article 5 — Duration and cancellation

The subscription is entered into with no minimum commitment period. The Client may cancel at any time from their client dashboard or by email to qualead@ellevate.fr.

Cancellation takes effect at the end of the current monthly period. No pro-rata refund is made for the period already invoiced. Access to the service is maintained until the cancellation effective date.

Article 6 — Publisher obligations

  • Make the Qualead service available to the Client in accordance with the features described for the subscribed plan
  • Ensure reasonable service availability, with an uptime target of 99% excluding planned maintenance
  • Notify the Client of any planned maintenance likely to affect service access
  • Handle support requests within a timeframe appropriate to the subscribed plan
  • Ensure the security and confidentiality of Client data in accordance with the privacy policy

Article 7 — Client obligations

  • Provide accurate and up-to-date information during onboarding and service configuration
  • Not use the service for unlawful purposes or in breach of these ToS
  • Validate drafts generated by Qualead before any sending — Qualead does not send automatically
  • Be responsible for the content of emails processed by Qualead and communications sent to third parties from their account
  • Not attempt to circumvent the security measures of the service

Article 8 — Liability and limitations

Qualead is a drafting assistance tool. Human validation of generated drafts is mandatory before any sending. The Publisher cannot be held liable for commercial decisions made by the Client on the basis of briefs or drafts generated by the service.

The Publisher's liability cannot be engaged in the event of analysis or generation errors resulting from incorrect or incomplete information provided by the Client during configuration. In any event, the Publisher's liability is limited to the amounts received during the month in question.

Article 9 — Intellectual property

Client data — reference documentation (Master File), email templates, space and availability information — remains the exclusive property of the Client. Drafts and briefs generated by Qualead from this data are also the property of the Client.

The source code, algorithms, interfaces, the Qualead brand and all constituent elements of the service remain the exclusive property of Ellevate. Any reproduction, even partial, is prohibited without prior written authorisation.

Article 10 — Governing law and disputes

These ToS are governed by French law. In the event of a dispute, the parties undertake to attempt an amicable resolution before taking legal action. Failing amicable resolution within 30 days, the competent court will be that of the jurisdiction of Ellevate's registered office.
